1. Acceptance of terms
By accessing or using the Lumacount platform, you agree to be bound by these Terms of Service on behalf of yourself and the organization you represent. If you do not agree, do not use the services.
2. The services
Lumacount provides an AI-assisted accounting platform, including financial data management, automation, and reporting tools. Certain modules may be offered in beta; beta features are provided as-is and may change or be discontinued.
3. Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and promptly notify us of any unauthorized use.
4. Customer data
You retain all rights to the data your organization submits to the platform. You grant Lumacount a limited license to process that data solely to provide and improve the services. You are responsible for having the necessary rights to the data you submit.
5. Acceptable use
You agree not to misuse the services, including attempting to gain unauthorized access, interfering with the platform's operation, reverse engineering the software, or using the services to violate any law or third-party right.
6. Professional judgment
Lumacount provides software tools, including AI-generated suggestions, to support your finance workflows. It does not provide accounting, tax, audit, or legal advice. Output from the platform should be reviewed by qualified professionals, and you remain responsible for your organization's financial reporting and compliance obligations.
7. Fees
Paid plans are governed by the order form or subscription agreement between your organization and Lumacount. Except where required by law or expressly stated otherwise, fees are non-refundable.
8. Intellectual property
Lumacount and its licensors own all rights in the platform, including software, design, and documentation. These terms do not grant you any rights in the platform other than the limited right to use the services as described.
9. Disclaimers and limitation of liability
The services are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Lumacount's aggregate liability arising out of or relating to the services is limited to the amounts paid by your organization for the services in the twelve months preceding the claim.
10. Termination
You may stop using the services at any time. We may suspend or terminate access for breach of these terms. Upon termination, your right to use the services ceases, and we will make your organization's data available for export for a reasonable period, subject to legal retention requirements.
11. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you through the platform or by email before the changes take effect. Continued use of the services after changes take effect constitutes acceptance.
